I recently bought some shares directly from a limited startup (over £ 1000). I subscribed to ordinary shares and signed an EQUITY INVESTMENT APPLICATION FORM. Do I have to pay 0.5% Stamp Duty Reserve Tax on this transaction? According to https://www.gov.uk/tax-buy-shares you do NOT have to pay tax if you subscribe to a new issue of shares in a company. However, I am not sure what is considered a "new issue" of shares by HMRC. The same transaction should also qualify for EIS (still waiting for the certificate). Thanks.
