Hello, I wish getting the guidance needed for my case, I have incorporated a LTD company that has never been traded. Also I have declared it as a dormant for corporation tax. Now I'm considering to strike it off. As I know I have to file final accounts for HRMC and paying due taxes. The problem is the company has never been traded and I didn't register for corporation tax as it has been all the time inactive. In this case do I need to register again for corporation tax or I can strike it off easily without any formalities regarding HRMC. THANK YOU

Hi Abdel.sight,
Thank you for your query. If the company is dormant for Corporation Tax, and you have told us, you are not required to file any company tax returns.
Further infomation about closing or striking off your company can be found at:
Closing a limited company
Strike off your limited company from the Companies Register.
Thank you.

Hello. I have a similar case of striking off a dormant company and I require clarification. I incorporated a private company in December 2020 and because I haven't been trading, I confirm that the company is dormant every year. Now, I applied for a strike off last week. However, I haven't filed a company annual account for 2023 (deadline was September) and I filed for a dormant account today. 1. Do I need to inform HMRC, via post, that I have applied for a strike off? 2. Do I still need to file my company annual account even after I have filed for a dormant account? 3. If yes to (2), will filing my annual account now affect my strike off application? Thank you.

Hi ,

Thank you for your query.

When striking off the company, the information you give to Companies House will automatically update onto Corporation Tax records,

we will review the information when you apply.

If the company is dormant for Corporation Tax, and you have told us, you are not required to file any company tax returns.

You can call the Corporation Tax helpline on 0300 200 3410 to confirm the dormancy.

Thank you .
