A company has recently completed a funding round which has prior approval for EIS, so completing the EIS1 compliance is next. Part of the funding round was completed with investment from nominee funds, which the company has issued share certificates in the nominee name. The funds have provided the names/address of the individual investors into the fund and have requested that EIS3 certificates are issued in their name (not the fund name). Is this correct? Thanks.

Hi

The EIS3 certificate will have the investors  name on it.  The investor submits the claim form with the EIS3 or EIS5 to HMRC, to claim tax relief on the investment.
Have a look at helpsheet HS364  The EIS3 certificate will have the investors  name on it: HS341 Enterprise Investment Scheme — Income Tax relief (2023)
The investor submits the claim form with the EIS3 or EIS5 to HMRC, to claim tax relief on the investment.

Thank you

Thanks. What is the difference between EIS3 and EIS5?

Hi
EIS3 is the certificate given to you. If your investment was made through an approved knowledge-intensive investment fund, the company will issue form EIS3 to the fund manager instead, and you will receive form EIS5, ‘Certificate and claim to relief for investment through an approved fund’ from the manager.
